These Terms of Service ("Terms") are an agreement between you and Baseview ("we," "us," or "our"). By using our website at baseview.co or purchasing any of our reports or services, you agree to these Terms. If you do not agree, please do not use our site or services.
We've written these in plain English so they're easy to understand. If anything is unclear, reach out to us at support@baseview.co.
1. What Baseview does
Baseview creates business and financial review reports for small business owners. You provide information about your business through our online form, and we generate a detailed, customized report based on that information. Reports are delivered as web pages with optional PDF export. In some cases we may also provide a recorded video walkthrough of the report.
2. Your account
To order a report, you'll need to create an account. You are responsible for keeping your login credentials secure and for all activity that happens under your account. If you believe your account has been compromised, contact us right away at support@baseview.co.
You must provide accurate, current information when creating your account and when submitting business information for a report. Reports are only as useful as the information they're built on.
3. How ordering and payment works
Here's the process:
Step 1: You fill out a short form with information about your business.
Step 2: We build your report. This typically takes a few business days.
Step 3: When it's ready, we send you a link to pay and unlock your report.
Prices are displayed on our site and may change from time to time. The price shown at the time you submit your order is the price you'll pay. We may offer discounts or promotional pricing at our discretion.
All payments are processed securely through Stripe. We do not store your credit card number on our servers. By making a payment, you also agree to Stripe's Terms of Service.
4. What you get
When you pay for a report, you get lifetime access to view and download your report through your Baseview account. "Lifetime" means for as long as Baseview continues to operate the service.
Your report is for your own personal and internal business use. You may share it with your business partners, advisors, accountants, or lenders. You may not resell, redistribute, or publish the report publicly.
5. Satisfaction and refunds
We stand behind the quality of our reports. If you're not satisfied with what you received, contact us at support@baseview.co and we'll work with you to make it right.
Because our reports are custom-built and delivered digitally, we evaluate refund requests on a case-by-case basis. We will always try to find a fair resolution.
6. Important limits on our reports
Our reports provide general business guidance and analysis. They are not a substitute for professional legal, financial, tax, or accounting advice. We are not lawyers, CPAs, or licensed financial advisors.
Reports are based on the information you provide, publicly available data, and general industry knowledge. We do our best to make them accurate and useful, but we cannot guarantee specific business outcomes or results. You are responsible for any business decisions you make based on a report.
Specifically:
Financial review reports analyze the numbers you provide. They do not constitute an audit, certified financial statement, or formal valuation. Always consult a qualified accountant or financial advisor before making major financial decisions.
Business review reports include market and competitive observations based on publicly available information. Market conditions change, and what's accurate today may shift over time.
7. Your content and information
You own the business information you submit. By submitting it, you grant us permission to use it to build your report and improve our services. We will not sell your information or share it with third parties except as described in our Privacy Policy.
You are responsible for making sure you have the right to share any information you submit, including financial statements. Do not submit information about a business you don't own or have authority over.
8. Our content and intellectual property
The Baseview website, report templates, analysis frameworks, branding, and all original content are owned by Baseview and protected by copyright and other intellectual property laws.
Your report is yours to use as described in Section 4 above. However, the underlying structure, methodology, and formatting of our reports remain our intellectual property.
9. What you agree not to do
When using Baseview, you agree not to:
Provide false or misleading information in your account or report submissions. Attempt to access other users' accounts or reports. Use automated tools (bots, scrapers, etc.) to access or extract data from our site. Reverse-engineer, copy, or recreate our report methodology or software. Use our service for any illegal purpose.
We reserve the right to suspend or close accounts that violate these Terms.
10. Limitation of liability
To the maximum extent permitted by law, Baseview's total liability to you for any claim arising from your use of our services is limited to the amount you paid us in the 12 months before the claim arose.
We are not liable for indirect, incidental, special, or consequential damages, including lost profits, lost revenue, or lost business opportunities — even if we were advised they were possible.
Some jurisdictions do not allow certain limitations of liability. In those cases, our liability is limited to the greatest extent permitted by applicable law.
11. Indemnification
You agree to hold Baseview harmless from any claims, losses, or expenses (including reasonable attorney fees) arising from your use of our services, your violation of these Terms, or your violation of any third party's rights.
12. Service availability
We aim to keep Baseview available and running smoothly, but we don't guarantee uninterrupted access. We may occasionally take the site down for maintenance, updates, or improvements. We'll try to give advance notice when possible, but sometimes things come up unexpectedly.
We reserve the right to modify, suspend, or discontinue any part of the service at any time. If we discontinue the service entirely, we will give you a reasonable window to download your reports.
13. Changes to these Terms
We may update these Terms from time to time. When we do, we'll update the "Last updated" date at the top. If we make significant changes, we'll notify you by email or through your account.
Your continued use of Baseview after changes take effect means you accept the updated Terms. If you don't agree with a change, you can stop using the service and contact us to close your account.
14. Governing law
These Terms are governed by the laws of the State of Washington, United States, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in the State of Washington, and you consent to the jurisdiction of those courts.
15. Entire agreement
These Terms, together with our Privacy Policy, make up the entire agreement between you and Baseview regarding your use of our services. They replace any prior agreements or understandings on this subject.
If any part of these Terms is found to be unenforceable, the rest remain in full effect.
